01Who we are and what these terms cover

Autometri Inc. is a consulting and software firm based in Montreal, Quebec. These terms govern your use of autometri.com and describe the basis on which we engage with clients. By using this website you agree to them. If you do not agree, please do not use the site.

The site is a description of what we do and a way to reach us. Using it does not create a consulting engagement, a contract for services, or any obligation on either side beyond what is written here.

02Services and engagements

Autometri Inc. provides operations consulting, process design, and the design, build and operation of AI and automation on our own platform, Atomic Agents. Every engagement begins with a fixed-fee diagnostic and continues, if it continues, on terms agreed for that engagement.

The scope, deliverables, fees, schedule and any service levels of an engagement are defined in the written agreement for that engagement, whether a proposal we have signed together, a statement of work, or a master agreement. Where that agreement and these terms differ, the agreement governs. Nothing on this website is an offer capable of acceptance, and a description of how we work is not a promise of a particular result in your business.

03Using this website

You may use the site to learn about what we do and to contact us. You may not use it to interfere with its operation, to probe or test its security without our written permission, to scrape or harvest its content by automated means, or for any purpose that is unlawful. You may not attempt to gain access to any system behind the site, or to any account or workspace on the platform we describe, that you have not been authorised to use.

We may change, suspend or withdraw any part of the site at any time without notice. We aim to keep it available and accurate, but we do not promise that it will be either at any particular moment.

04Inquiries, bookings and the chat

The inquiry form, the booking calendar and the chat are ways to start a conversation. Sending an inquiry or booking a call does not engage us, and a discovery call is a conversation about whether there is work worth doing, not advice you should act on. We may decline to take on any engagement, and will say so plainly if that is our answer.

The chat on the page behind our business cards is answered by an AI agent running on our platform. It can describe what we do and help you decide whether to talk to a person; it cannot commit us to anything, quote a price, or give you advice about your business. Anything it says about scope, fees or timelines is indicative only and is superseded by what a person at Autometri Inc. tells you.

Please do not send us confidential information through the form, the calendar or the chat. A conversation about your business is welcome; the confidential detail belongs under a non-disclosure agreement, which we will put in place before a diagnostic begins.

05Intellectual property

The content of this website, including its text, design, illustrations, diagrams and the recorded demonstrations of the platform, belongs to Autometri Inc. or is used under licence, and is protected by copyright and trademark law. You may view it and link to it. You may not reproduce, redistribute or adapt it for commercial purposes without our written permission. The Autometri and Atomic Agents names and marks are ours; the names of the products we integrate with belong to their owners, and their appearance here does not imply endorsement.

In an engagement, and unless the agreement for it says otherwise: the work product we create specifically for you is assigned to you on full payment; the platform, its integration catalogue, and the tools, templates, methods and know-how we bring to the work or develop in general terms during it remain ours, and you receive the right to use them as part of what we deliver; and each of us keeps what we owned before the engagement began.

06Confidentiality

Each of us will keep confidential the non-public information the other shares in the course of an engagement, use it only for that engagement, and disclose it only to people who need it and are bound to keep it confidential. The obligation does not apply to information that is public, that the receiving party already had, or that the law requires to be disclosed. It survives the end of the engagement.

Where an engagement involves personal information about your customers, employees or suppliers, we handle it under Quebec's Law 25 and the terms of the engagement, and our Privacy Policy describes how we treat personal information that reaches us through this site.

07No professional advice, and the figures on this site

The content of this website is general information about how we work. It is not accounting, legal, tax or financial advice, and it does not take account of your circumstances. Decisions about your business should be made with advice that does.

The results described on this site are real outcomes from real engagements, stated as accurately as we can. They are not a promise that your business would see the same. The scorecards, matrices, tables and diagrams that illustrate our method are examples, and are marked as such where they appear; the figures in them are illustrative rather than a quotation.

08Services provided by other companies

The booking calendar is provided by HubSpot and is subject to HubSpot's own terms. The chat runs on the Atomic Agents platform. Links from this site to other sites are provided for convenience; we do not control those sites and are not responsible for their content or their handling of your information. The products named on our platform page are the property of their owners, and connecting to them in an engagement is subject to their terms as well as ours.

09Limitation of liability

To the fullest extent the law allows, this website is provided as it is and as available, without warranty of any kind, and Autometri Inc. is not liable for any loss arising from your use of it or your reliance on anything in it.

In an engagement, and unless the agreement for it says otherwise, our total liability for any claim arising from the engagement is limited to the fees you paid us for the services giving rise to the claim in the twelve months before it arose, and neither of us is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or business opportunity, however it arises. Nothing in these terms limits liability that the law does not allow to be limited, including for fraud, or for injury caused by intentional or gross fault.

10Privacy

How we collect, use and protect personal information through this site, what we keep in your browser, what loads only with your consent, and the rights you have under Quebec's Law 25 and other privacy laws, is set out in our Privacy Policy. It forms part of these terms.

11Governing law

These terms, and any dispute about this website, are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there, and the courts of the judicial district of Montreal have exclusive jurisdiction. An engagement is governed by the law named in its agreement, which will ordinarily be the same.

These terms are published in English and in French. Where the two differ, the version in the language in which you read and accepted them applies.

12Changes to these terms

We may update these terms from time to time. The date at the top says when they last changed. Changes apply to your use of the site from the moment they are published, and an engagement already under way continues under the terms it started on unless we agree otherwise in writing.
